Please Connect Me Standard Contract Terms

Between: Please Connect Me Ltd (“PCM”), registered in England and Wales at 124 City Road, London EC1V 2NX, and Partner (“Partner”).

Together referred to as “the Parties”.

1. Definitions

In this Agreement, unless the context requires otherwise:

  • “Customer”: Any individual referred by the Partner to PCM for the purpose of using PCM’s Services.

  • “Successful Connection”: A Customer referral that results in a confirmed and active connection to a utility or service provider through PCM.

  • “Partner”: The business or individual entering into this Agreement with PCM.

  • “Commission”: The amount payable to the Partner by PCM for each Successful Connection, as set out in this Agreement or any associated schedule.

  • “PCM”: Please Connect Me Ltd.

  • “Services”: PCM’s utility connection and home move services are available to Customers.

  • “Commission Schedule”: The appendix to this Agreement setting out the rates and payment terms that apply to the Partner.

 

2. Services Provided

a. The Partner will provide PCM with client referrals for household utility and home move Services offered by PCM.

b. Referrals may be submitted in any form (written, verbal, online, via email, or through the Partner’s normal client onboarding processes).

c. The Partner must ensure that all Customers have given express, informed consent for PCM to contact them and manage their setup.

d. PCM will provide a professional service to referred Customers and keep the Partner informed of referral outcomes as necessary for Commission purposes.

 

3. Commission Payments and Terms

a. The Partner will be paid Commission for each Successful Connection as defined in Clause 1.

b. Commission rates and payment methods are detailed in the Commission Schedule attached to this Agreement.

 

4. Data Protection

a. Each Party will comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

b. The Partner will only share personal data with PCM where it has obtained the Customer’s explicit consent to do so.

c. Both Parties shall ensure that appropriate security and confidentiality measures are in place to protect all personal data exchanged under this Agreement.

 

5. Confidentiality

a. Each Party shall keep confidential all information received from the other Party in connection with this Agreement and shall not use such information for any purpose other than fulfilling its obligations under this Agreement.

 

6. Term and Termination

a. This Agreement takes effect on the date of signing and continues until terminated by either Party.

b. Either Party may terminate this Agreement with 30 days’ written notice.

c. Either Party may terminate immediately if the other Party breaches a material term or acts in a way likely to harm the other’s reputation.

d. Upon termination, PCM will pay any Commission that has been received from service providers and is therefore due for payment prior to the termination date.

 

7. Liability

a. Each Party is responsible for its own actions and omissions under this Agreement.

b. PCM shall not be liable for any indirect or consequential loss.

c. Nothing in this Agreement limits liability for fraud, death, or personal injury.

8. Independent Relationship

a. The Partner is an independent contractor. Nothing in this Agreement creates an employment, agency, or joint venture relationship between the Parties.

 

9. Governing Law

a. This Agreement is governed by and construed in accordance with the laws of England and Wales, and the Parties submit to the exclusive jurisdiction of its courts.

10. Acceptance

Signing below confirms your acceptance of this agreement and the Commission Schedule as set out in Schedule A.

Schedule A – Commission Schedule

This Schedule forms part of the Referral Partnership Agreement between Please Connect Me Ltd and the Partner.

1. Commission Rate

PCM will pay the Partner 20% of the gross commission revenue PCM receives from utility and service providers for Customers referred by the Partner and connected via PCM’s Services.

  • Alternative rates or temporary incentives may be agreed in writing and will supersede this standard rate for the specified period.

 

2. Payment Terms

Commission will be paid ex-VAT unless otherwise stated.

  • Commission will be paid monthly, on the last business day of the month following the month of PCM’s receipt of commission from the relevant provider.

  • Payments will be made to the Partner’s nominated bank account.

  • PCM will issue a self-billed invoice to the Partner prior to payment.

 

3. Incentive Options

At the Partner’s discretion, Commission may be redeemed as:

  • Payment to a nominated bank account

  • Food or retail vouchers

  • Donations to a registered charity chosen by the Partner

  • Other methods agreed in writing

  • Not redeemed

 

4. Adjustments

PCM reserves the right to adjust Commission if:

  • The referral was submitted without valid Customer consent; or

  • The referral breached this Agreement or applicable law.
